These Terms and Conditions ("Terms") govern your use of the 409A Valuations platform operated by the Company ("Company", "we", "us", or "our"). By accessing or using our service, you agree to be bound by these Terms.

The Company provides AI-powered 409A valuation services for startups and private companies. Our platform combines artificial intelligence with expert human review to deliver accurate, compliant valuations.

3. User Accounts and Eligibility

To use our service, you must create an account and provide accurate, complete information. You must be at least 18 years old and have the authority to bind your organization to these Terms.

4. Marketing and Promotional Use

By using our service, you grant the Company permission to use your company name and logo for marketing, promotional, and case study purposes. This includes but is not limited to website testimonials, marketing materials, and client lists. You may opt out of this usage by contacting us in writing.

5. Data and Confidentiality

The Company takes data security seriously. All client information and valuation data is treated as confidential. We implement industry-standard security measures to protect your information. However, you acknowledge that no method of transmission over the Internet is 100% secure.

6. Professional Standards

Our valuations are prepared in accordance with AICPA standards and industry best practices. However, valuations are opinions of value as of a specific date and actual results may vary. The Company makes no guarantees about specific valuation outcomes.

7. Payment and Fees

Fees for our services are as quoted and agreed upon. Payment is due within 30 days of invoice date. The Company reserves the right to suspend access to services for overdue accounts.

8. Limitation of Liability

The Company's liability is limited to the amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages. This limitation applies to the fullest extent permitted by law.

9. Intellectual Property

The Company retains all rights to our methodology, software, and proprietary processes. Clients retain ownership of their provided data and receive full rights to their completed valuation reports.

10. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination, you will retain access to completed work product, but ongoing services will cease.

11. Governing Law

These Terms are governed by the laws of Delaware, United States. Any disputes will be resolved through binding arbitration in Delaware.

12. Changes to Terms

The Company may update these Terms at any time. We will notify users of material changes via email or platform notification. Continued use after changes constitutes acceptance of new Terms.
